Grayscale Moves to Convert Litecoin Trust Into NYSE Arca ETF — BigGo Finance


Grayscale Investments is taking another step toward bringing its Litecoin Trust onto a major U.S. exchange, filing an amended registration statement that would convert the eight-year-old vehicle into a spot exchange-traded fund trading under the ticker LTCN.

The asset manager submitted Amendment No. 1 to its Form S-3 with the Securities and Exchange Commission on September 11, 2026. If the registration takes effect and a related exchange rule change clears regulatory review, the product would be renamed the Grayscale Litecoin Trust ETF and listed on NYSE Arca.

The filing arrives as Litecoin trades near $53.62, having recovered roughly 72% of a decline that stretched from a June high of $59.36 to a late-August low around $39.29. The official Litecoin account on social media responded to the news with a two-word post: “Definitely something.”

The registration statement supplies a longer yardstick for that price. Between July 2021 and June 2026, the Litecoin index price the trust tracks ranged from $40.04 to $275.50 and averaged $90.86. At $53.62, the coin sits about 41% below that five-year mean. Over the twelve months ended June 30, 2026 alone, the range was $40.04 to $130.23.

Closing the discount gap

The trust has held actual Litecoin since 2018, but it currently trades over the counter on OTCQX, where its share price can drift meaningfully away from the value of the underlying coins. That structural flaw is precisely what a conversion is designed to fix.

A standard ETF operates with creation and redemption baskets that allow authorized participants to swap shares for the underlying asset. That mechanism keeps the market price tethered to net asset value. Grayscale has already executed the same playbook with its Bitcoin, Ethereum and Zcash vehicles, transforming them from opaque trusts into exchange-listed funds. The Bitcoin conversion closed in January 2024, after the asset manager won a federal appeals court challenge to the SEC’s earlier rejection, and Ethereum followed in July 2024. The Zcash Trust became the Zcash ETF on August 25, 2026, listing on NYSE Arca with more than $313.5 million in net assets — the most recent precedent for how one of these conversions plays out, and one that arrived less than three weeks before this filing.

The filing alone is not the finish line. NYSE Arca submitted its 19b-4 listing application on January 24, 2025, and the SEC still needs to sign off before any shares can trade on the exchange. Both an effective registration statement and a cleared 19b-4 must be in place.

Bloomberg analysts Eric Balchunas and James Seyffart have pegged the approval odds near 100%, pointing to the SEC’s newer generic listing standards that strip much of the discretion out of the decision-making process.

A second entrant in a thin market

Grayscale would not be breaking new ground. Canary Capital launched the first U.S. spot Litecoin ETF on Nasdaq under the ticker LTCC on October 28, 2025, and the debut was notably quiet. The fund recorded roughly $1 million in first-day volume and zero net inflows on its opening session, according to issuer flow data, a stark contrast to the billions that greeted Bitcoin and Ethereum ETF launches.

More recent figures from SoSo Value underscore how thin demand has remained. As of September 11, 2026, the Canary fund held about $7.01 million in net assets, with cumulative net inflows of roughly $10.15 million since launch. Daily net inflow that day was zero, and total value traded came to $833,560.

The trust holds more than ten times the assets of the fund that reached the market first, and it charges more than twice as much per year to hold.

That context reframes what Grayscale is attempting. The conversion does not manufacture fresh demand on its own. Its value is narrower and more mechanical: taking an existing pool of trust assets and wrapping them in a cleaner structure that eliminates the premium or discount those shares carry against net asset value.

The sharper question is a flows question, not a legal one. Will existing trust holders stay through the conversion, or rotate out once they can trade at NAV? And will new money choose the wrapper over holding the coin directly?
